Compliance Commitment Letter
I. Compliance Statement
- Compliance with Laws and Regulations
My business operations and all other actions and activities undertaken by me shall comply with, adhere to, and be in conformity with applicable laws and regulations (including, but not limited to, compliance with laws and regulations related to sanctions, anti-money laundering, anti-corruption, or anti-bribery). I represent and warrant that, prior to the date of this commitment, I have independently applied for and obtained all necessary licenses, permits, and approvals required to conduct my business activities from the relevant governmental authorities. I shall ensure that the licenses required for my business remain valid and are timely updated throughout the term of this commitment. Should I suffer any losses due to the expiration or failure to timely update the licenses required for my business, I shall bear all legal consequences and liabilities, and JSBIT shall not be liable for such losses.
- Compliance with Management Regulations
If my breach of this Compliance Commitment Letter results in any loss to JSBIT and/or any third party, I shall be liable to indemnify JSBIT and/or such third party. If I receive any notification from a governmental authority regarding the performance of this commitment, I shall immediately notify JSBIT in writing.
II. Commitment Regarding Restricted Parties and Restricted Jurisdictions
1. Identity Declaration of Me and My Affiliates
I represent and warrant that neither I nor my collaborators (if permitted) is, nor will become, a subject or entity that is applicable to the economic or financial sanctions or trade embargoes (collectively referred to as “Sanctions Laws”) imposed or enforced by the U.S. Government (including, but not limited to, the Office of Foreign Assets Control of the U.S. Treasury or the U.S. Department of State), the United Nations Security Council, the European Union, the UK Treasury, or other relevant sanctions authorities.
- Supply Chain Supervision Responsibility
I shall be responsible for supervising my downstream supply chain and shall bear full responsibility. I shall ensure that no party in my supply chain is involved with any Restricted Parties or Restricted Jurisdictions.
III. Commitment Regarding Sanctions Lists
1. Compliance with Sanctions Laws
I represent and warrant that neither I, my collaborators, nor any of my relevant affiliates is located, incorporated, controlled by, represented by, or has a residence in any country or region that is subject to the Sanctions Laws as applicable and as amended from time to time (hereinafter referred to as “Restricted Jurisdictions”).

I shall regularly check the following sanctions lists to ensure that I do not engage in dealings with sanctioned persons:
(1) EU Sanctions List Search: EU Sanctions Map
(2) U.S. Department of the Treasury OFAC Sanctions List Search: OFAC Sanctions List
(3) OFSI Consolidated List Search: OFSI Consolidated List
(4) United States Export Administration Regulations (EAR) Restricted Entity Inquiry:The U.S. Export Administration Regulations
IV. Commitment Regarding Export Controls
- Compliance with EAR
I acknowledge and agree that the products under this commitment are subject to all applicable export control laws and regulations, including the U.S. Export Administration Regulations (“EAR”). I shall not export, re-export, distribute, or transfer any products under this commitment, directly or indirectly, to any individual or entity in any country classified under the D or E country groups as defined in the EAR, unless all necessary licenses or exceptions have been obtained from relevant government agencies, including the U.S. Bureau of Industry and Security.
- Prohibition on Providing Products to Restricted Parties
I shall not export, re-export, or transfer the products under this commitment to:
(1) Any individual or entity listed on the “Entity List”, “Denied Persons List”, or SDN List maintained by the U.S. government; or
(2) Any end user engaged in activities related to weapons of mass destruction, including but not limited to activities related to:
- The design, development, production, or use of nuclear materials, nuclear facilities, or nuclear weapons;
- The design, development, production, or use of missiles or support for missile projects; or
- The design, development, production, or use of chemical or biological weapons.

V. Liability for Breach
If I breach any provision of this Compliance Commitment Letter, resulting in any loss or liability to JSBIT, I shall fully indemnify JSBIT and bear all legal consequences arising therefrom.
